Liability for advisory services to Healthcare Professionals

As a healthcare professional, you may from time to time engage Cannabis Warehouse Australia or its Representatives to provide advice on, or to facilitate or assist you to prepare, regulatory documentation, including in connection with the regulatory approval of prescriptions for cannabis products (“Services”). If you engage Cannabis Warehouse Australia or its Representatives (the “Released Parties”) to provide such Services, you acknowledge and agree:

• that the Released Parties provide such Services on an ‘all care, no responsibility’ basis; that you rely on such Services solely at your own risk; and that you agree to take final responsibility for (a) reviewing and satisfying yourself that the content of the regulatory documentation is comprehensive, true, accurate and correct, and (b) signing off and submitting such regulatory documentation to regulators;

• any information or advice provided to you by the Released Parties is not intended to be a substitute for professional medical advice or professional legal advice or guidance on legal or regulatory issues;

• the Released Parties, to the fullest extent permitted by law, disclaim all warranties, either express or implied, statutory or otherwise, including but not limited to warranties regarding merchantability, non-infringement of third party rights, and fitness for a particular purpose; and

• you release, indemnify and hold harmless the Released Parties against any claim or demand whatsoever in connection with any claim, loss, cost, liability or expense suffered or incurred by you in connection with the provision of the Services (or failure to provide the Services), including in connection with the preparation or submission of any regulatory documentation.

You agree that you will not upload or transmit any communications or content of any type to the Public Areas or Social Media Platforms that infringe or violate any rights of any person. By submitting communications or content to the Public Areas or Social Media Platforms, you agree that such submission is non-confidential for all purposes. It is important to note that Cannabis Warehouse Australia and its Representatives are not responsible for the operation, terms of use or policies of any Social Media Platform. Before using any Social Media Platform you should review its terms of use and policies, including its privacy policy.

If you make any such submission you agree that you will not send or transmit to Cannabis Warehouse Australia by email, (including through the email addresses listed on the “Contact Us” page) any communication or content that infringes or violates any rights of any person. If you submit any business information, idea, concept or invention to Cannabis Warehouse Australia by email, you agree such submission is non-confidential for all purposes.

If you make any submission to a Public Area or a Social Media Platform or if you submit any business information, idea, concept or invention to Cannabis Warehouse Australia by email, you automatically grant-or warrant that the owner of such content or intellectual property has expressly granted Cannabis Warehouse Australia a royalty-free, perpetual, irrevocable, world-wide non-exclusive licence to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the communication or content in any media or medium, or any form, format, or forum now known or hereafter developed.

To protect your privacy, you agree that you will not submit any media that contains personal information (like name, phone number, email address or web site URL) of you or of anyone else. Uploading media like images or video of other people without their permission is strictly prohibited.

By uploading any media on the Site or a Social Media Platform, you warrant that you have permission from all persons appearing in your media for you to make this contribution and grant rights described herein. Never post a picture or video of or with someone else unless you have their explicit permission.

You agree that you will not upload any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or this Site.

By uploading any media on the Site or a Social Media Platform like a photo or video, (a) you grant to Cannabis Warehouse Australia a perpetual, non-exclusive, worldwide, royalty-free license to use, copy, print, display, reproduce, modify, publish, post, transmit and distribute the media and any material included in the media; (b) you certify that any person pictured in the submitted media (or, if a minor, his/her parent/legal guardian) authorises Cannabis Warehouse Australia to use, copy, print, display, reproduce, modify, publish, post, transmit and distribute the media and any material included in such media; and (c) you agree to indemnify Cannabis Warehouse Australia and its affiliates, directors, officers and employees and hold them harmless from any and all claims and expenses arising from the media and/or your failure to comply with these the terms described in these Terms of Use.

5. Site Security and Access

You are prohibited from violating or attempting to violate the security measures on the Site, including, without limitation:

Using a false password or one belonging to another user or accessing data not intended for the user or logging into a server or account which such user is not authorised to access;

Disclosing a password or permitting a third party to use a password or failing to notify us if a password is compromised;Sending unsolicited e-mail or commercial electronic messages, including promotions and/or advertising of products or services.

6. Governing Law

This Terms of Use document shall be governed by and interpreted in accordance with the laws of Victoria. If any provision of this document shall be unlawful, void or for any reasons unenforceable, then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Commercial Terms Agreement

This Commercial Terms Agreement (“Agreement”) is entered into on the date of signing up to the eCommerce platform (“Effective Date”) between Cannabis Warehouse Australia Pty Ltd, with its principal place of business at Level 1/1291 Malvern Road, Malvern VIC 3144 (“Distributor”), and the pharmacy accessing the eCommerce platform (“Pharmacy”).

1. Scope of Agreement:
This Agreement governs the terms and conditions under which Distributor will supply pharmaceutical products to Pharmacy through the eCommerce platform. Pharmacy acknowledges and agrees to the terms of this Agreement by accepting the terms via a tick box upon signing up to the eCommerce platform.

2. Payment Terms:
2.1. Payment for all invoices shall be made within 14 days from the date of receipt of the invoice by Pharmacy, as per the terms agreed upon upon signing up to the eCommerce platform.
2.2. Any discounts provided by Distributor are contingent upon timely payment of invoices by Pharmacy.
2.3. Distributor reserves the right to withdraw any discount offered if payment is not made within the specified timeframe.

3. Invoices:
3.1. Distributor shall issue invoices to Pharmacy for the products supplied.
3.2. Invoices shall be generated through the eCommerce platform and shall include a detailed breakdown of the products supplied, quantities, prices, and any applicable discounts.

4. Pricing and Discounts:
4.1. Pricing for products supplied shall be as agreed upon between Distributor and Pharmacy upon signing up to the eCommerce platform.
4.2. Any discounts provided by Distributor shall be applied in accordance with the terms outlined herein and as per the agreed pricing structure.

5. Taxes:
5.1. All prices and payments are exclusive of any applicable taxes, including but not limited to goods and services tax (GST).
5.2. Pharmacy shall be responsible for any applicable taxes imposed on the products supplied under this Agreement.

6. Late Payments:
6.1. In the event of late payment by Pharmacy, Distributor reserves the right to charge interest on the outstanding amount at the rate of [Rate]% per annum, calculated daily from the due date until the date of payment.
6.2. In the event of persistent late payments, Distributor may suspend further deliveries until outstanding payments are settled.

7. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Australia.

8. Entire Agreement:
This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties concerning the subject matter herein.The parties hereto acknowledge and agree to the terms of this Agreement as of the Effective Date first above written.
